Terms and Conditions
This is an electronic contract in terms of the Information Technology Act, 2000 and rules thereunder, as applicable. This electronic contract is generated by a computer system and does not require any physical or digital signatures.
Air India Limited (us, we, our, or Air India) has invited certain organizations to avail benefits in relation to selected purchases of air tickets for travel with Air India, as communicated to them by Air India via email or by other means from time to time (AI Biz Benefits).
The organization will be required to register themselves through the AI Biz Registration Portal available at www.airindia.com/in/en/book/ai-biz.html (Registration Portal). If the organization successfully registers itself for availing the AI Biz Benefits (acceptance of registration is subject to Air India’s sole discretion), it will be provided with login details to access the AI Biz Administrator Portal available at https://sme.airindia.com/bridge/loginCorporate (Admin Portal). This Admin Portal will be used to receive further information from the organization to facilitate and monitor the booking process.
These Terms and Conditions for Acceptable Use of the Portals and AI Biz Benefits (Terms and Conditions) sets out, inter alia, a list of acceptable and unacceptable conduct for use of the Registration Portal and the Admin Portal, and any sub-portals created by them for the purpose of facilitating the booking process (together referred to as the Portals). These Terms and Conditions create a binding legal agreement between the organization using the Portals (through its representatives, whether duly authorized or not) - (you or AI Biz User), and Air India. If we believe a violation of these Terms and Conditions is deliberate, repeated, or presents a credible risk of harm to other users, or the Portals or any third parties, we may suspend or terminate your access without any further notice.
By accessing the Portals through any computing or mobile platform, the AI Biz User acknowledges that it has carefully read and understood these Terms and Conditions and agrees to be bound by them for as long as it is accessing the Portals and/or availing the AI Biz Benefits. Please note that these Terms and Conditions read together with Air India’s privacy policy (https://www.airindia.com/in/en/privacy-policy.html) (Privacy Policy), constitute a legal and binding agreement between the AI Biz User and Air India and is enforceable under the laws of India. Any reference to ‘Terms and Conditions’ shall include a reference to the Privacy Policy as well.
In addition to the AI Biz User, the Eligible Passengers and any person who accesses the Portals through any computing or mobile platform acknowledges that they have carefully read and understood these Terms and Conditions and agree to be bound by them (to the extent they are applicable) for as long as they are accessing the Portals. In such case any reference to ‘AI Biz User’ and ‘you’ as used in these Terms and Conditions will be deemed to include a reference to Eligible Passengers and to any other person accessing the Portals.
By accepting the Terms and Conditions, the AI Biz User represents that it complies with the eligibility criteria for availing the AI Biz Benefits as described in Paragraph 12 below. If, at any time, we are of the opinion that the AI Biz User does not satisfy the eligibility criteria, or that the AI Biz User has made any misrepresentation about its eligibility, or is in breach of its representations and warranties, Air India retains the right to disable the AI Biz User’s access to the Portals and/or suspend the AI Biz Benefits immediately without providing any further notice.
Air India reserves the right to amend, add to, change or remove any part of these Terms and Conditions at any time, without notice. Any changes to these Terms and Conditions or any terms posted on either of the Portals apply as soon as they are posted. By continuing to use either of the Portals or the AI Biz Benefits after any changes are posted, you are indicating your acceptance of those changes and waiver of any objections to such changes.
IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, PLEASE DISCONTINUE USING THE PORTALS AND AI BIZ BENEFITS IMMEDIATELY AND REFRAIN FROM ACCESSING ANY CONTENT ON THE PORTALS HENCEFORTH.
TERMS AND CONDITIONS OF USE OF PORTALS
1. Ownership of Materials & Appropriate Use
1.1. These Portals and the materials on it, including the content, data, design, information or other materials available on and underlying the Portals, are protected by copyright, trademark, and other intellectual property rights and laws throughout the world. The materials on these Portals are owned by or licensed to Air India. The AI Biz User may not alter, broadcast, copy, distribute, modify, publish, sell, license, communicate to the public, adapt, modify, translate, disassemble, decompile or reverse engineer, create derivative works from, or in any way use or exploit or transfer any materials on these Portals; although the AI Biz User is permitted to display the materials on these Portals on a computer screen and to download and print a hard copy for internal use, provided that the AI Biz User does not alter or remove any copyright, trademark, or other proprietary notices.
1.2. We grant the AI Biz User a non-sub-licensable, revocable, non-transferable, non-exclusive, limited period license to use the Portals, but solely as necessary for availing the AI Biz Benefits and in accordance with the Terms and Conditions. All of our rights not expressly granted by this license are hereby retained.
1.3. Copying of part or all the contents of these Portals without Air India’s permission is prohibited except to the extent that such copying/printing is necessary for the purposes of availing of the AI Biz Benefits.
1.4. The AI Biz User agrees to use the Portals in accordance with these Terms and Conditions for lawful and proper purposes and in compliance with the laws of the country from which the AI Biz User is accessing the Portals. Further, AI Biz User agrees to:
(a) comply with all applicable laws and governmental regulations, including, but not limited to, all intellectual property, data, privacy, and export control laws, and regulations of any government agencies;
(b) hold only one account and be solely responsible for the use and management of its account and password;
(c) keep passwords and all other login information confidential;
(d) monitor and control all activity conducted through the AI Biz User’s account in connection with the access to the Portals and the AI Biz Benefits;
(e) promptly notify Air India if it becomes aware of or reasonably suspect any illegal or unauthorized activity or a security breach involving its accounts or teams, including any loss, theft, or unauthorized disclosure or use of a username, password, or account;
(f) provide Air India with reasonable assistance, as requested, to stop or remedy any illegal or unauthorized activity or a security breach; and,
(g) comply in all respects with all applicable terms of the third-party applications, integrated with the Portals that the AI Biz User accesses or subscribe to in connection with the AI Biz Benefits.
1.5. The AI Biz User may be held liable for losses incurred by Air India or any other user of the Portals or AI Biz Benefits due to authorized or unauthorized use of your account as a result of your failure in keeping its account information secure and confidential and/or not promptly notifying us in the event of any beach of security. Furthermore, the AI Biz User agrees not to:
(a) use any of the materials on the Portals for commercial exploitation without our prior written consent;
(b) establish a link to or from either of the Portals from or to any other website, intranet or extranet site without our prior written consent;
(c) obtain or attempt to obtain or permit any un-authorized access to our intranet or any other restricted access networks or any account (except the AI Biz User’s account) on our Portals;
(d) upload to or transmit from the Portals, any data, file, software, or link which contains or redirects to a virus, trojan horse, worm, or any other harmful component or any technology which unlawfully accesses or downloads content or information stored on the Portals or on Air India’s hardware or any third party;
(e) post, upload, publish, transmit or share any information which:
(i) belongs to another person and which it doesn’t have any right to post, upload, publish, transmit or share;
(ii) is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, libelous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever;
(iii) harms minors in any way;
(iv) infringes any patent, trademark, copyright or other proprietary rights;
(v) violates any law for the time being in force;
(vi) deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
(vii) impersonates another person;
(viii) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource; or
(ix) threatens the unity, integrity, defense, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation.
Posting, uploading, publishing, transmitting or sharing any information that has been listed in clause (i) to clause (ix) above may lead to suspension of the AI Biz User’s account. In the event we receive any complaint that any information posted by you amounts to a breach of this clause, we will take such steps necessary as required under law to remove or disable access to such information and may suspend or terminate your account at our sole discretion.
(f) attempt to reverse engineer, decompile, hack, disable, interfere with, disassemble, modify, copy, translate, or disrupt the features, functionality, integrity, or performance of the Portals (including any mechanism used to restrict or control the functionality of the Portals), any third-party use of the Portals, or any third-party data contained therein (except to the extent such restrictions are prohibited by applicable law);
(g) interfere with the proper functioning of the Portals;
(h) access the Portals or AI Biz Benefits in order to build a similar or competitive product or service or copy any ideas, features, functions, or graphics of the Portals or AI Biz Benefits;
(i) access, search, or create accounts for the Portals by any means other than our publicly supported interfaces (for example, "scraping" or creating accounts in bulk);
(j) distribute, publish, send, or facilitate the sending of unsolicited mass e-mail or other messages, promotions, advertising, or solicitations (like “spam”), including commercial advertising and informational announcements;
(k) abuse referrals or promotions (if any) to get more credits than deserved;
(l) resell, time share or similarly exploit the AI Biz Benefits;
(m) use contact or other user information obtained from the Portals (including email addresses) to contact users without their express permission or authority or to create or distribute mailing lists or other collections of contact or user profile information; or
(n) authorize, permit, enable, induce or encourage any third party to do any of the above.
2. Portal Availability and Content
2.1. The Portals are provided free of charge and we make no guarantee that they will be uninterrupted or error free. We make no guarantee as to the availability, quality, or service levels of the Portals or the AI Biz Benefits on a 24x7 basis or promise uninterrupted access to the Portals or the AI Biz Benefits.
2.2. Disruption of the Portals or AI Biz Benefits may arise due to technical or operational difficulties, and no prior notice of downtime will be given to the AI Biz User in such circumstances. Air India reserves the right to suspend or withdraw the whole of the materials or information on the Portals at any time without notice. We may also suspend the AI Biz Benefits for specific users permanently or temporarily for any reason whatsoever, including while investigating complaints or alleged violations of these Terms and Conditions.
2.3. Air India may add, change, discontinue, remove or suspend any other content posted on the Portals, including features and specifications of products described or depicted on the Portals, temporarily or permanently, at any time, without notice and without liability.
3. Links from this Site
We may from time to time provide links from these Portals to websites that are owned and controlled by third parties. These links are provided for your convenience only and do not imply any affiliation or endorsement by Air India. We have no control over and shall have no liability whatsoever in respect of those websites.
4. Accuracy of Information
We take reasonable care to ensure that all information and pricing featured on the Portals are accurate and up to date. However, our products and services are continually updated and the images, specifications and any prices on the Portals and in these Terms and Conditions are for general illustrative guidance only.
5. Disclaimer
We provide the AI Biz Benefits and the content on the Portal on an "as is" basis and grant no warranties of any kind, whether express, implied, statutory or otherwise with respect to the AI Biz Benefits and content on the Portals. We specifically disclaim any implied warranties of fitness for a particular purpose or non-infringement. The AI Biz User expressly agrees that the use of the Portals and AI Biz Benefits is at its own risk. We do not warrant, represent, or undertake that the material on the Portals is accurate, complete or current or that the Portals will be free of defects or viruses and all conditions and warranties that might otherwise be implied by statute or at common law are excluded to the fullest extent permitted by law. We do not accept any liability for any losses or claims arising from any liability to access the Portals, use of the Portals, downloading of viruses, the loss or corruption to material that is downloaded and any website browser incompatibility problems. All software products downloaded from the Portals are downloaded, installed, and used at the user's own risk.
6. Privacy Policy
Use of the Portals and the AI Biz Benefits are also governed by the Privacy Policy (https://www.airindia.com/in/en/privacy-policy.html). You acknowledge that you have carefully read the Privacy Policy and understood the practices and policies that govern the use of the Portals and the AI Biz Benefits, and hereby consent to the collection, storage, processing, disclosure and transfer of any personal or sensitive personal information provided by the AI Biz User to Air India, as set out in the Privacy Policy. The AI Biz User has the option to not provide its consent for the collection or processing of sensitive personal information, and to withdraw its consent at any point of time, provided that in such cases Air India will not be able to provide full range of AI Biz Benefits to the AI Biz User.
Any reference to ‘Terms and Conditions’ shall include a reference to the Privacy Policy as well.
7. Representations and Warranties
7.1. The AI Biz User represents and warrants that it:
(a) shall not use the Portals in a manner that results in Air India breaching any laws or regulations;
(b) shall not violate or infringe any third-party rights, including without limitation, intellectual property rights and publicity/privacy rights associated with or belonging to Air India or its affiliates (whether by license of otherwise);
(c) shall not use or allow to be used any intellectual property belonging to Air India or its affiliates (whether by license or otherwise) in any promotional materials, signs, announcements or other forms of communication or advertising by it or in any other manner whatsoever, unless other Air India’s express written permission for such use has been obtained in advance;
For the avoidance of doubt, this shall also include not using the name, logo, or brand of or refer to Air India directly or indirectly on any social media outlet (i.e., weblogs or “blogs,” wikis, and other forms of online publishing) including, but not limited to, Facebook, Twitter or YouTube without such Party’s prior written approval;
(d) has the necessary power to execute and perform its obligations under these Terms and Conditions , has all necessary approvals and has undertaken all actions required to validly authorize such execution and performance, including but not limited to corporate and shareholder authorizations; and
(e) the performance by it of its obligations hereunder and compliance by it with the provisions hereof will not violate, contravene or breach or create a default under any agreement, instrument, charter or by-law provision, statute, regulation, judgment, ordinance, decree, writ, injunction or applicable law.
8. Force Majeure:
Air India shall not be liable to the AI Biz User for failure to perform its obligations under these Terms and Conditions if such failure is caused by a Force Majeure event.
For the purpose of these Terms and Conditions. “Force Majeure Event” shall mean and include any circumstance beyond the reasonable control of Air India, including without limitation, any act of god, act of nature or the public enemy, accident, explosion, fire, storm, earthquake, flood, drought, perils of the sea, the elements, casualty, strikes, lock-outs, labour troubles, riots, sabotage, pandemic, epidemic, terrorists acts, embargo, war (whether or not declared), governmental actions, change of laws and regulations, orders, or decrees, or other causes of like or different character beyond the control of Air India.
9. Governing Law and Dispute Resolution
9.1. The AI Biz User’s use of the Portals, any material downloaded from the Portals, the use of the AI Biz Benefits and the interpretation of these Terms and Conditions shall be governed by the laws of India and the AI Biz User submits to the exclusive jurisdiction of the courts of New Delhi, India.
9.2. In the event of any dispute, controversy or claim arising out of or in connection with these Terms and Conditions, including any question regarding its existence, validity or termination (Dispute), shall initially be resolved by amicable negotiations among the senior executives of the Air India and the AI Biz User.
9.3. If the Dispute is not resolved amicably within 30 (thirty) days after receipt by one party of the other party’s written request do so, the Dispute shall be referred to and finally resolved by arbitration in accordance with the provisions of the Indian Arbitration and Conciliation Act, 1996 (as amended from time to time). The arbitral tribunal shall consist of a sole arbitrator to be appointed by Air India. The seat of arbitration shall be Delhi. The language to be used in the arbitral proceedings shall be English.
TERMS AND CONDITIONS FOR THE AI BIZ BENEFITS
10. Eligibility Criteria
10.1. In order to avail the AI Biz Benefits, the AI Biz User will have to meet the following criteria:
(a) The AI Biz User should be a validly constituted organization or business under applicable laws, including but not limited to the following types of organizations/businesses:
(i) Sole proprietorship
(ii) Hindu Undivided Family
(iii) Company incorporated under the terms of the Companies Act, 2013 or the Companies Act, 1956
(iv) Partnership constituted under the Partnership Act, 1932 or a limited liability partnership constituted under the Limited Liability Partnership Act, 2008
(v) Society registered under the Societies Registration Act, 1860
(vi) Trust
(vii) Liaison Office, Branch Office, or Project Office authorized by the Reserve Bank of India
(viii) Universities and colleges recognized by the University Grants Commission
Air India may require such organisations to submit proof of being validly constituted under applicable laws.
(b) The representative of the AI Biz User registering the AI Biz User on the Registration Portal and using the Admin Portal has been duly authorized by the AI Biz User to do so.
Air India may communicate additional eligibility criteria including the requirement to furnish documents to determine authenticity of the AI Biz User from time to time.
10.2. The AI Biz User represents and warrants to and covenants with Air India that it complies with the abovementioned eligibility criteria. If, at any time, Air India (in its sole discretion) is of the opinion that the AI Biz User does not satisfy the eligibility criteria, or that the AI Biz User has made any misrepresentation about its eligibility, Air India retains the right to disable your access to the Portals and/or suspend the AI Biz Benefits immediately without providing any further notice.
10.3. To continue to remain eligible to receive the AI Biz Benefits, the AI Biz User must ensure that air tickers worth at least INR 1,00,000 (exclusive of taxes) are booked through its Portal in each financial year ending 31 March. In case this minimum threshold is not achieved, Air India may (at its sole discretion), suspend or terminate of the AI Biz User’s account and access to the Portals and the AI Biz Benefits. Air India reserves the right to amend the abovementioned criteria from time to time (at its sole discretion).
11. Eligible Passengers
11.1. The AI Biz Benefits will be available to all persons who book tickets for air travel (which are eligible for the AI Biz Benefits) through the Admin Portal or through any sub-portal created by the Admin Portal for the purpose of facilitating the booking. For the purpose of these Terms and Conditions, all such persons are referred to as Eligible Passengers.
11.2. The AI Biz Benefits will only be available to Eligible Passengers for (a) tickets issued In India and (b) flights originating from India.
11.3. The AI Biz User may not and shall ensure that Eligible Passengers do not in any manner whatsoever resell or otherwise offer the benefits to any other person (other than the Eligible Passengers) including but not limited to effecting such resale or offer with the object of earning a profit from such sale.
11.4. The AI Biz User explicitly agrees that it shall be responsible for any misuse of the AI Biz Benefits by the AI Biz User or any of the Eligible Passengers. In case Air India (in its sole discretion) is of the opinion that such misuse has occurred, it shall have the right to disable the AI Biz User’s access to the Portals and/or suspend the AI Biz Benefits immediately without providing any further notice (at its sole discretion), seek indemnity payments, and may pursue any other remedy under applicable law against the AI Biz User, including filing claims for damages.
11.5. In order to avail the AI Biz Benefits, the Eligible Passengers shall have to book their air tickets through the relevant sub-portal created by the Admin Portal and shall have to necessarily use the organizations’ email address (which shall necessarily contain the domain name registered by the AI Biz User through the Admin Portal) while making the purchase.

12. AI Biz Benefits
12.1. Air India shall communicate the details of the discounts, preferential policies etc. which it (in its sole discretion) chooses to extend to the AI Biz User as a part of the AI Biz Benefits from time to time via email, the Admin Portal, or through any other mode of communication it chooses.
12.2. It is explicitly clarified that the Eligible Passengers will be bound by these Terms and Conditions (to the extent applicable) and all the standard terms and laws which apply to a person flying with Air India including but not limited to Air India’s general conditions of carriage and other relevant Air India policies, if any, as published on its website (www.airindia.com).
12.3. The AI Biz User understands and acknowledges that Air India is not obligated to provide the AI Biz Benefits to the AI Biz User. Air India may, at its sole discretion, discontinue providing the AI Biz User with the AI Biz Benefits at any time, whether with or without providing any notice.
13. Obligations of the AI Biz User
13.1. In addition to the other covenants and undertakings of the AI Biz User hereunder, the AI Biz User shall:
(a) designate Air India as one of its “Preferred Airlines” on its approved supplier, as per its travel policy list (or other relevant internal policy), which shall be communicated to the Eligible Passengers.
(b) actively raise awareness of the benefits available under these Terms and Conditions within its organisation and to its affiliates and actively encourage the use of the Air India’ products and services by Eligible Passengers.
(c) consent to receiving commercial electronic messages from Air India containing marketing and promotional material from Air India.
(d) cooperate with Air India to conduct a review of all the bookings made by a AI Biz User or by Eligible Users (using the AI Biz User’s access to the Admin Portal) on a quarterly basis.
(e) provide Air India with any information required by Air India regarding any discrepancies identified by the AI Biz User during the quarterly review of booking information.
(f) provide Air India with any other information/documents which it may reasonably require to verify that the AI Biz Benefits are not being misused. In case such information/documents are required from any Eligible Passengers, the AI Biz User shall endeavour to obtain the same on a best effort basis.
(g) the AI Biz User shall cooperate with Air India and provide reasonable assistance in any such investigation being undertaken by Air India.
(h) provide Air India with documented verification of the AI Biz User’s relationship with the Eligible Passengers. The AI Biz User will ensure that the Eligible Passengers, upon request by Air India, furnish proof of their affiliation with the AI Biz User or its Affiliate at the time of check-in.
14. Payment Terms
The AI Biz User or the Eligible Passenger (as the case maybe) shall make the payment for the purchase of tickets including convenience fee eligible for the AI Biz Benefits to Air India by conventional payment methods such as credit card, debit card or e-wallet through a e-payment portal available on the Admin Portal (or sub-portal created by the Admin Portal to facilitate the booking process).
Air India will not be responsible or assume any liability, whatsoever in respect of any loss or damage arising directly or indirectly to the AI Biz User or an Eligible Passenger or any other person on account of any lack of authorization for any transaction, exceeding any pre-set payment limits, any payment issues arising out of the transaction, or any decline/delay of transaction for any other reason.
You agree and acknowledge that Air India is not a bank or a financial service provider but is merely facilitating and accepting payments using electronic automated online electronic payment and the existing authorized banking infrastructure and credit/debit card payment gateway networks.
15. Confidentiality
Unless otherwise agreed to by Air India in writing, the AI Biz User and/or Eligible Passengers will hold any information regarding the particulars of the AI Biz Benefits being provided, the information acquired from Air India which has been marked as confidential or which reasonably appears to be information which should be considered to be confidential (Confidential Information) in confidence and, subject to the terms of these Terms and Conditions , will not divulge or disclose the Confidential Information or make the Confidential Information available to any person, other than employee, agents, and/or contractors engaged by the AI Biz User who need to know such Confidential Information for the purpose of these Terms and Conditions.
For the purpose of this clause, the Confidential Information does not include any information: (a) which is or becomes available to the public through no action of the AI Biz User and/or Eligible Passengers; or (b) which is already in the AI Biz User’s and/or Eligible Passenger’s possession as at the date of these Terms and Conditions from a third party under no obligation of confidentiality; or (c) which the AI Biz User and/or Eligible Passengers are either requested or required to produce by any statutory body or law enforcement agency pursuant to any applicable law.
16. Term
These Terms and Conditions shall be valid and binding till the AI Biz User or the Eligible Passengers continue to make use of the AI Biz Benefits or access either of the Portals. Air India may disable the AI Biz User’s access to the Portals, and/or suspend the AI Biz Benefits anytime at its sole discretion, with or without providing notice.
17. Limitation of Liability
Air India will not be liable to the AI Biz User or to any third party for any special, indirect, incidental, consequential or punitive damages (such as loss of profits, loss of goodwill, loss of use, loss of data, business interruption, or other intangible losses) arising out of or relating in any way to the AI Biz Benefits, our content, or use of the Portals.
18. Indemnity
The AI Biz User agrees to indemnify and hold harmless Air India and its subsidiaries, affiliates, officers, directors, agents, and third parties, for any losses, liabilities and expenses (including reasonable attorney's fees) relating to or arising out of (a) the AI Biz User's use of the Portals and AI Biz Benefits, (b) a breach of these Terms and Conditions, (c) any violation of third party data protection rights,(d) any breach of representations and warranties set forth above, (e) any misuse of the AI Biz Benefits by Eligible Passengers and/or (f) any fraudulent act on the AI Biz User’s or Eligible Passenger’s part.
19. Termination
Any violation or breach of the Terms and Conditions may lead to automatic suspension or termination of the AI Biz User’s account and access to the Portals and the AI Biz Benefits, and we shall not be responsible or liable for any damages in this regard. The AI Biz User and Eligible Passengers agree that the expiry or any early termination of the Terms and Conditions shall be without prejudice to Air India’s rights in respect of any antecedent breach matter or thing.
Notwithstanding anything contained in these Terms and Conditions, Air India may (acting in its sole discretion) terminate the AI Biz Benefits (whether for a particular AI Biz User or discontinue the scheme altogether) and unilaterally terminate these Terms and Conditions (whether with or without notice).
20. Anti-Corruption/Anti-Bribery Representations and Warranties:
(a) The AI Biz User represents and warrant that it is in compliance with laws of the country in which it is incorporated/registered/operating, including all anti-corruption and anti-bribery laws, and will remain in compliance with all such laws during the term of these Terms and Conditions. The AI Biz User further represent and warrant that it has not made, authorized or offered to make payments, gifts or other transfers of value, directly or indirectly, to any government official or private person in order to (a) improperly influence any act, decision or failure to act by that official or person, (b) improperly induce that official or person to use his or her influence with a government or business entity to affect any act or decision by such government or entity or (c) secure any improper advantage.
(b) The AI Biz User agrees that should it learn or have reason to know of any payment, gift or other transfer of value, directly or indirectly, to any government official or private person that would violate any anti-corruption or anti-bribery law, it shall immediately disclose such activity to Air India. If, after consultation with Air India any concern cannot be resolved in the good faith and Air India’s reasonable judgment, then Air India terminate these Terms and Conditions suspend/ terminate the AI Biz User’s account and access to the Portals and the AI Biz Benefits
21. Code of Conduct:
(i) The business activities of Air India are self-regulated by the “Tata Code of Conduct” (Code), (a copy of which is available on https://newai-staging.airindia.com/content/dam/airindia/pdfs/tata-code-of-conduct.pdf ). The AI Biz User undertakes that it will endeavor to promptly report any violation or potential violation of the Code by any person to the Air India Ethics Counsellor or the CEO of Air India. Air India in turn, undertakes that it will maintain confidentiality of all communications received.
(ii) The AI Biz User shall conduct its business as per its internal code of ethics or code of conduct which mandates it to conduct its business ethically and in a compliance to the applicable laws and prevailing good industry practices; compliance to competition laws; prevention and prohibition of corruption, bribery, treats, money laundering.
(iii) If Air India reasonably believes that a non-adherence by the AI Biz User to any part of these Terms and Conditions has occurred, which may potentially be detrimental to Air India’s interest, the AI Biz User shall permit Air India or Air India’s appointed independent auditor to audit the AI Biz Users compliance with these Terms and Conditions. Any such audit shall be conducted during normal business hours, without any notice and at Air India’s sole expense.
22. General Provisions:
(a) Notice: All notices to the AI Biz User shall be provided via email to the email ID provided by the AI Biz User as a part of the registration process. Any notice to be provided to Air India should be sent to bridge.support@airindia.com.
(b) Assignment: The AI Biz user cannot assign or otherwise transfer his/her obligations under the Terms and Conditions, or any right granted hereunder to any third party. Air India’s rights and obligations under the Terms and Conditions are freely transferable by Air India to any third parties without the requirement of seeking the AI Biz User’s consent.
(c) Severability: If, for any reason, a court of competent jurisdiction finds any provision of the Terms and Conditions, or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to give effect to the intent of the parties as reflected by that provision, and the remainder of the Terms and Conditions shall continue in full force and effect.
(d) Waiver: Any failure or forbearance by Air India to enforce or exercise any provision of the Terms and Conditions, or any related right, shall not constitute a waiver by Air India of that provision or right.
(e) Relationship: The agreement between Air India and the AI Biz User is on a principal-to-principal basis; it does not establish any agency or partnership or joint venture with Air India.
